(hereinafter referred to as “the Tendering Agent”), entrusted by CNOOC and Shell Petrochemicals Company Limited          (hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC Huizhou Polycarbonate Project by International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Polycarbonate Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

A．如果投標人為境內注冊公司，投標人需提供合法有效的企業法人營業執照、稅務登記證及組織機構代碼證或證照合一的營業執照，投標時需提供原件掃描件（原件備查）；

如果投標人為境外注冊公司，需提供有效的公司登記注冊證明；

A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combined certificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference);

The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.

B．投標人應為所投貨物的制造商或授權代理商。如果投標人是代理商，則須提供制造商有效授權書。如果投標人是制造廠商所在集團內負責銷售的公司，投標人應提供聲明，說明投標人與制造廠商隸屬同一集團，負責投標貨物的銷售工作。

The bidder shall be the manufacturer or agent of bid goods. If the bidder is an agent, it shall provide a valid Letter of Authority from Manufacturer. If the bidder is the sales company within the same group as the manufacturer, the bidder should provide relevant documents to prove that the sales company is within the same group as the Manufacturer and it is responsible for the sales of the bid goods.

如果投標人是代理商,應具有****年*月*日至****年**月**日氣動旋塞閥的銷售業績（至少一個），并提供相關業績證明文件。業績證明文件包括但不限于銷售合同復印件，至少體現以下內容：合同簽署時間、合同簽署頁（國內貿易合同應有雙方蓋章，國際貿易合同應有雙方簽字或蓋章）、制造商名稱、貨物名稱。未提交業績證明文件，或通過所提供的業績證明文件無法認定滿足上述業績要求的，均視為無效業績。

If the bidder is an agent, the bidder shall have sales performance (at least one) of Pneumatic Plug (ON-OFF) Valves from January *^st, **** to December **^st, ****, and provide corresponding documentary evidence. The sales performance documentary evidence includes but not limited to a copy of the sales contract, which should at least reflect the following contents: the date of contract signing, the contract signing page (domestic trade contracts should have signatures and seals from both parties, international trade contracts should have signatures or seals from both parties), the name of the manufacturer, and the name of the goods. If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

投標文件中提供制造商授權書的中標候選人，應在中標候選人公示后 *個工作日內將制造商授權書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達招標人聯系人進行核驗，對于國外制造商授權書原件，投標人提前準備以滿足核驗原件期限要求。投標文件中提供的制造商授權書可在制造商官方網站上查詢并核驗一致的或紙質投標已遞交制造商授權書原件的，可免于送交原件核驗。核驗結果不一致的，將按照提供虛假投標資料處理；未能在規定期限內提供原件的，將視為不如實提供材料處理。上述兩類情況將取消中標候選人資格及中標資格，并按照中國海油相關制度規定給予禁用等處理。

The winning candidates who provide the manufacturer's authorization letter in the tender documents shall deliver the original manufacturer's authorization letter (the signature, personal seal or official seal must all be the original. Scanned and printed documents will not be accepted) to the contact person of the tenderer for verification within * working days after the public announcement of the winning candidates. For the original authorization letter from the foreign manufacturer, the bidder should prepare it in advance to meet the time limit requirement for verifying the original. The manufacturer's authorization letter provided in the tender documents can be verified and verified on the manufacturer's official website. If the original manufacturer's authorization letter has been submitted in the paper tender, it is not necessary to submit the original for verification. If the verification results are inconsistent, it will be dealt with as providing false bidding materials. Failure to provide the original documents within the prescribed time limit will be treated as false provision of materials. The above two types of situations will result in the disqualification of the winning candidate and the winning bid qualification, and will be dealt with in accordance with the relevant regulations of CNOOC, such as being banned.

投標人所投產品的制造商須取得覆蓋本次投標產品等級且有效的《特種設備型式試驗證書》。

The manufacturer of the bid product shall obtain a valid Special Equipment Type Test Certificate covering the grade of the bid product.

（*）業績要求Requirement for Bidder's reference:
****年*月*日至投標截止日（以合同簽署時間為準），投標人所投產品的制造商有雙酚A裝置（BPA裝置）氣動旋塞閥的*個合同業績且單個合同閥門數量大于或等于**臺。

其中，至少包含*臺壓力等級不低于***lb的氣動旋塞閥和*臺設計溫度不低于***℃的氣動旋塞閥。（需注意：壓力等級和設計溫度可以同時在*臺閥門中體現，也可以分別在*臺閥門中體現；壓力等級和設計溫度不要求必須同時體現在*個合同業績中，可以分別在*個合同業績中體現。)

如果投標人為制造商所在集團內負責銷售的公司，應提供該制造商的業績。

From *st Jan, **** to the bid deadline (subject to the contract signing date), the manufacturer of the products submitted by the bidder shall have * supply contracts of BPA plant pneumatic plug valves, and the number of individual contract valves is greater than or equal to **.

Among the two contracts, there is at least one pneumatic plug valves with a pressure class of not less than ***lb and one pneumatic plug valve with a design temperature of not less than ***℃.(Note: Pressure rating and design temperature can be reflected in * valve at the same time, or can be reflected in * valves; Pressure rating and design temperature are not required to be reflected in * contract at the same time, but can be reflected in * contract performance.)

If the bidder is a company responsible for sales within the manufacturer's group, the contract of that manufacturer should be provided.

投標人須按規定格式提交業績表，并提交相關業績證明文件。業績證明文件包括但不限于：銷售合同復印件（含相關技術附件）。投標人所提交的業績證明文件必須至少體現以下內容：合同簽署時間、合同簽署頁（國內貿易合同應有雙方蓋章，國際貿易合同應有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、貨物數量、壓力等級、設計溫度。

若業績合同為年度協議，除提供年度協議外，還應提供相應的已到貨訂單，訂單內容或編號應與年度協議相關聯。同一個年度協議下提供*個或以上的訂單及與訂單對應的到貨驗收材料均算為*個有效業績。

The Bidder shall furnish reference List in given form, and provide corresponding documentary evidence. The documentary evidence shall include but not limited to: copies of sales contract (including technical appendix) . The reference evidence certification furnished by Bidder shall as least demonstrate the content show as follows: Date of signing contract, contract signing page(domestic trade contracts should have signatures or seals from both parties, international trade contracts should have signatures or seals from both parties), name of manufacturer, name of the plant, name of goods, number of goods, pressure rating and design temperature.

If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidence under the same annual agreement is considered as one valid performance.

未提交業績證明文件，或通過所提供的業績證明文件無法認定滿足上述業績要求的，均視為無效業績。 

If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

Before bidding, the bidder should complete registration and information verification at https://www.ebnew.com or https://www.chinabidding.com .The bid evaluation results  will be published on the website (http://www.chinabidding.com) and China National Offshore Oil Corporation Procurement Platform (https://buy.cnooc.com.cn) .

**. 提示Notes

投標人進入開標大廳后，需要進行簽到操作，等待開標主持人指令。允許解密后，投標人點擊解密按鈕進行解密投標文件（需解密前在電腦上插入當前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標人未在投標截止時間/開標時間前進行簽到，原則上將無法進行解密，將被視為撤回其投標文件。）

The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)

投標文件解密時限為**分鐘。投標人未在上述解密時限內完成解密視為解密失敗，根據？電子招標投標辦法？的規定，視為投標人撤回投標文件。

The decryption time limit of the bid documents is ** minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.

投標人對開標有異議的，應當在開標現場提出，招標人當場做出答復，并制作記錄。未在線上開標現場提出的開標異議，不予受理。

Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
